By using any AI Solution, you agree to these AI Solution Terms of Service (the “Terms”). AI Solutions constitute SaaS Services as that term is defined in your Software as a Service Agreement or other agreement with Tyler (“Agreement”), and AI Solutions will be made available solely to the extent identified on an Order Form or provided as part of a product suite to all clients at no additional cost. These Terms supplement the Agreement and govern your access to and use of AI Solutions. Capitalized terms shall have the respective definition given to them in the Agreement. In the event of a conflict with the Agreement, these Terms shall control.

  1. Definitions.
    1. “Artificial Intelligence” or “AI” means technology that leverages models trained on large data sets used to generate content or make predictions.
    2. “AI Agent” means an autonomous software system that uses AI to interact with other persons, platforms, or agents, execute actions and pursue a defined goal, without a specific instruction or prompt on how to achieve that goal.
    3. “AI Input” means information provided to or accessed by an AI Solution to generate an AI Output.
    4. “AI Output” means text, software code, audio, images, materials or an action, in each case generated or executed by AI in response to AI Input.
    5. “AI Solution” means (i) SaaS Services provided by Tyler allowing Client to use AI or use AI Agents partially configured by Tyler, or (ii) Tyler AI Studio.
    6. “Personal Data” means any information that, individually or in combination, does or can identify a specific individual or by or from which a specific individual may be identified, including, without limitation the data considered “personal information”, “personally identifiable data”, or similar under applicable federal, state or provincial laws, rules or regulations relating to data privacy.
    7. “Tyler AI Studio” means SaaS Services provided by Tyler allowing Client to (i) configure AI Solutions or (ii) build and customize AI Agents.
  2. License Grant, Ownership and Intended Use.
    1. Tyler grants to Client the non-exclusive, non-assignable limited right to use the applicable AI Solution solely for Client’s governmental purposes, subject to the maximum AI token or credit limit set forth in the applicable Order Form or Investment Summary, for the term of the Agreement. Any excess usage will be charged in accordance with our then-current rates.
    2. AI Solutions are not designed, intended, or authorized to make final and binding decisions on behalf of Client. Client shall not rely upon AI Outputs as the sole basis for decisions that produce legal, financial, regulatory or other material or similarly significant effects on individuals or entities, except where Client has independently determined such use of AI Outputs is permitted under applicable law.
    3. Client acknowledges Tyler AI Studio is intended to serve as a platform on which Client may configure AI solutions or AI Agents using no-code or low-code methods. In order to use AI features, Client grants to Tyler a license to use, process, store, maintain and disclose to third-party service providers, Client’s AI Input in order to generate AI Output. For the avoidance of doubt, Client grants Tyler all rights necessary to provide the AI features. Tyler uses, processes, stores, maintains, discloses and disposes of AI Inputs and AI Outputs solely to provide, secure, maintain and improve AI Solutions.
    4. To the extent any ownership rights vest in AI Output generated by Client’s AI Inputs, Client owns those rights and Tyler disclaims any ownership rights in AI Output generated by Client’s AI Inputs.
    5. Tyler shall not use AI Inputs or AI Outputs that identify Client or contain Personal Data to train foundation or large language models without Client’s prior written consent. Tyler may use AI Inputs, AI Outputs and de-identified, anonymized, and aggregated data derived from AI Solutions usage on a perpetual basis to improve the security, reliability, accuracy, efficiency and performance of Tyler’s products and services and for Tyler’s own research and development purposes.
    6. Tyler will provide Client with access to, and storage of, its AI Inputs or AI Outputs for 90 days, or a longer time period to the extent required by applicable law or expressly mutually agreed in writing by the parties. To the extent Tyler stores AI Input or AI Output, such storage will be in accordance with the hosting and confidentiality provisions of the Agreement; provided, however, in no event will such AI Input or AI Output be deemed “Data” under the Agreement. Client acknowledges that, due to the nature of AI technology, AI Outputs generated by AI Solutions may be similar or identical to outputs generated for other Tyler clients or users of AI Solutions, and such similarity shall not be deemed a breach of confidentiality or Client’s AI Output ownership rights.
    7. All intellectual property, inventions, comments, suggestions, ideas, feedback, customizations, enhancements, interfaces, configurations, contributions, derivative works, supporting applications and any other items or ideas created on AI Solutions, including, without limitation, patents, patentable invention, trade secrets, copyrightable software (“Intellectual Property”) developed in connection with your use of AI Solutions shall be owned solely and exclusively by Tyler. Client assigns title, ownership and all rights to Intellectual Property to Tyler and will reasonably cooperate to perfect such assignments. If Client cannot assign Intellectual Property to Tyler or to the extent an assignment is not effective under applicable law, Client grants to Tyler an exclusive, unlimited, irrevocable, transferable, worldwide, fully-paid license to use, reproduce, distribute and commercialize the Intellectual Property in perpetuity.
    8. For the avoidance of doubt, Tyler reserves ownership, title and all rights and interest in AI Solutions and Documentation, including customizations developed and delivered in the course of providing services under the Agreement and including any developments made as a result of Client’s comments, suggestions or feedback. Tyler shall not be required to disclose proprietary models, system architecture, prompts, guardrails or trade secrets involved in or associated with the provision of AI Solutions in response to any public records, freedom of information or similar disclosure request.
  3. Client Responsibility.
    1. Client shall be responsible for actions taken by AI Solutions and AI Agents as if Client performed the action directly.
    2. Client acknowledges and agrees that AI Solutions and AI Agents are tools intended to assist users of the AI Solution and do not replace human judgment, discretion or decision-making. Client retains sole responsibility for determining whether, when and how to use AI Output for all decisions, actions and outcomes arising from such use.
    3. Client is responsible for the results of its configuration and customization efforts, including assigned permissions and scope of access given to end users and agents, and to test and ensure that the resulting AI Solutions and AI Agent functions as intended.
    4. Client is solely responsible for implementing appropriate internal policies, controls, and procedures governing the configuration, deployment, monitoring and use of AI Solutions and AI Agents, including determining the appropriate level of human review and approval as required by applicable law.
    5. Client shall ensure that any credentials, permissions or access rights Client provides to AI Solutions or AI Agents adhere to the principle of least privilege and are limited to the minimum access necessary. Client is responsible for rotating, revoking or disabling such credentials as appropriate, including upon personnel changes or security incidents. Client is responsible for any credentials it provides to personnel using AI Solutions or AI Agents, including credentials that allow access to a third-party platform.
    6. Client is solely responsible for determining, authoring, and publishing its own required online terms of use, disclosures, and legally required notices relative to the use of the AI Solutions or AI Agents by end users and the enforcement thereof, including notifying end users of any restrictions set forth in these Terms.
    7. Client acknowledges that it determines the purpose and means of processing Personal Data and has sole responsibility for the accuracy, quality, and legality of all Personal Data, including, without limitation, Personal Data processed in AI Inputs and AI Outputs. Tyler shall process data on behalf of the Client and solely for any purpose permitted under these Terms, unless Tyler receives consent to process for another purpose. Client represents and warrants that it is authorized to, and it has provided and/or obtained all necessary notifications, consents and rights to, use data, submit AI Input data, or otherwise process Personal Data while using AI Solutions.
    8. Client is solely responsible for responding to any public records, freedom of information or similar disclosure requests relating to AI Inputs, AI Outputs, or Client’s use of AI Solutions or AI Agents in accordance with the terms of the Agreement.
  4. Restrictions.
    1. AI Solutions include AI features that may be subject to changing laws applicable in your local jurisdiction. You shall not use AI Solutions in any way that violates applicable law, including, without limitation, applicable law that restricts the use of AI in your jurisdiction.
    2. Client shall not use AI Solutions or AI Agents in any manner that constitutes a “high risk,” “regulated” or similarly restricted AI use under applicable law, including but not limited to uses involving eligibility determinations, benefits adjudication, law enforcement, criminal justice, creditworthiness, housing, employment, education, or access to essential government services, unless the applicable AI Solution environment is expressly authorized and configured by Tyler for such data types and Client independently determines such use is lawful and implements all required safeguards, disclosures and human oversight.
    3. Client shall not configure AI Agents to execute financial transactions, make unsupervised decisions, send external communications without appropriate oversight, or to self-modify and deploy updates autonomously.
    4. AI features in AI Solutions may not be suitable for all types of information. Client is responsible for selecting the appropriate level of access that should be granted to Personal Data or other Data utilized by AI Solutions, as well as AI Inputs and AI Outputs generated by AI Solutions. Client is prohibited from submitting information or Data that exceeds the compliance authorization levels of the specific environment or model selected by Client within AI Solution. Unless the Client has verified that the selected environment or model is configured to process such information or Data, Client shall not generate AI Inputs or build or customize AI Agents, that process protected health information, student information or education records, children’s information without appropriate parental or guardian consent, criminal justice information, payment card information or any type of Personal Data which is classified as sensitive personal data (or an equivalent term) under applicable state and federal law.
    5. Tyler is not responsible for monitoring Client’s use of AI Solutions or AI Agents or for intervening to ensure compliance with usage limits or any other restrictions.
    6. AI Solutions may not be used or accessed outside the United States or by children under the age of 18 years old.
    7. Tyler may suspend, limit or modify access to any AI Solution or a specific AI Agent or feature upon a good faith determination that Client’s use poses a security risk, legal or regulatory risk, or violates these Terms. Tyler shall not be liable for any such suspension or modification of any AI Solution undertaken to mitigate risk, comply with applicable law, or which are based on a good faith belief these Terms have been breached.
    8. Tyler may modify, restrict or discontinue AI features as necessary to comply with changes in applicable law, regulation or authoritative guidance relating to artificial intelligence. Such changes shall not constitute a breach of these Terms. Tyler will use commercially reasonable efforts to provide advance notice of material changes to AI Solution functionality that result from legal or regulatory requirements.
  5. Third Party Terms.
    1. AI Solutions are supported by Third-Party Software or Third-Party SaaS Services subject to Third Party Terms. Tyler does not guarantee the availability, continuity or behavior of any specific third-party AI model. Tyler may, at its discretion, substitute or modify underlying models or components used to provide AI Solutions without notice.
    2. AI Solutions incorporate certain large language models and components of third-party service providers. Through the use of any AI Solution, Client agrees to comply with, and require end users to agree to comply with, applicable third-party terms and conditions, which may include the following linked terms:

AI OUTPUTS ARE PROVIDED “AS IS” WITH NO WARRANTY AND TYLER MAKES NO WARRANTY AS TO OUTCOMES OR THAT AI OUTPUTS WILL BE ACCURATE, ERROR-FREE, COMPLETE, UP-TO-DATE, BE FIT FOR ANY PURPOSE, MEET CLIENT’S REQUIREMENTS OR BE FREE OF BIAS. IN NO EVENT WILL TYLER BE LIABLE FOR ANY HARM RESULTING FROM USE OF AI SOLUTIONS, THE ACTIONS OF AI AGENTS OR AI OUTPUT ARISING OUT OF CLIENT’S INSTRUCTIONS OR RELATED TO MALICIOUS OR CRIMINAL ACTORS ACCESSING OR USING THE AI. ANY SERVICE LEVEL AGREEMENTS, UPTIME COMMITMENTS, OR DEFECT WARRANTIES APPLICABLE TO TYLER’S SAAS SERVICES DO NOT APPLY TO AI OUTPUTS, MODEL BEHAVIOR, OR AI-GENERATED CONTENT.
